Terms.

What we sell, what you pay, what we owe each other. Short version: we deliver, you pay, we both behave.

1. Scope

These terms govern the relationship between ALMPACT LTD (we, us, AImpact) and the customer (you) for use of the AImpact platform and related services. By signing an order form, paying an invoice, or using the platform you accept these terms.

2. Services

We provide a software platform and associated operator services as described in the order form. We work hard to keep the platform available but we do not guarantee uninterrupted service. Planned maintenance is announced in advance.

3. Fees and payment

Fees are stated in the order form. We invoice at the start of the billing period unless agreed otherwise. Invoices are due within fourteen days. Late payment carries statutory interest plus a reasonable fee for collection effort.

4. Term and termination

The contract runs for the term stated in the order form. Either party can terminate for material breach with thirty days written notice and a reasonable opportunity to cure. We can suspend the service immediately if an invoice is more than thirty days overdue.

5. Data and confidentiality

You own your data. We process it on your instructions as data processor under GDPR. We keep your business information confidential and treat it with the same care we treat our own. Our data processing agreement is available on request.

6. Intellectual property

We own the platform, the code, the models, and the brand. You get a non exclusive licence to use them during the term of your subscription. Anything you build on top of the platform that is specific to your business stays yours.

7. Liability

We are liable for damages caused by intent or gross negligence. For ordinary negligence we are liable only for foreseeable damages typical for this kind of contract. Liability is capped at the fees paid in the twelve months preceding the event. This cap does not apply to claims for personal injury or where statute does not allow limitation.

8. Governing law

Cyprus law governs. Exclusive jurisdiction is the competent court in Limassol, Cyprus, to the extent permitted by mandatory consumer protection law.

9. Severability

If a clause is invalid the rest stays in force. We replace the invalid clause with one that comes closest to the original intent.
